Subscription Payment Terms
Important: The following payment terms represent the agreement between you and ExSitu Pty Ltd (“ExSitu”) in relation to the subscription to the ExSitu web application (the “Subscription Service”). Please carefully read the subscription payment terms (the “Payment Terms”) before purchasing the subscription service. When you purchase the subscription service you, as an individual, or on behalf of the company or entity listed on the subscription, are agreeing to these Payment Terms. If you are accepting these terms on behalf of another person or company, you represent and warrant that you have full authority to bind that person or company to these terms. In exchange for agreeing to these Payment terms, ExSitu will permit you, or authorised staff members to access and use the Subscription Service. The subscriptions service permits access to staff members and clients of your company and listed entity only, and cannot be shared between companies.
ExSitu is entitled to change its Payment Terms at any time. If we make amendments to these Payment Terms, we will post the updated Payment Terms on our website www.myexsitu.com and will additionally notify you of the change via email. Any changes will become effective from commencement of your next payment subscription period. You will be deemed to have accepted these Payment Terms, as amended, if you continue to use the Subscription Services after the updated Payment Terms have been posted.
Auto-Renewal for Subscription Services
You authorise ExSitu or its payment processor to charge the applicable recurring subscription fees to your designated billing payment method. When you initially subscribe to a Subscription Service, you will be charged at the current fee as per our fee schedule document provided to you. By choosing the subscription service which has a recurring payment plan, you acknowledge that such Subscription service has an initial and recurring payment feature, and you accept responsibility for all recurring charges prior to cancellation. All subscriptions renew automatically until cancelled by the user. To change or terminate your Subscription Services at any time, contact us at firstname.lastname@example.org. If you terminate a Subscription Service, you may use your subscription until the end of your then-current term. Your subscription will not be renewed after your then-current term expires. You will not be eligible for a prorated refund, or any portion of the subscription fee paid for the then-current subscription period.
If you fail to provide full and timely payments, you will immediately be in default without any advance demand or notice of default being required. From the time of default, you are liable to ExSitu for interest equal to the maximum rate permitted by law, which is payable for the period from (and including) the due date of the payment to the date on which full payment is made.
We may also deactivate your account without notice to you if payment is past due, regardless of the amount. You agree to pay any outstanding balance in full within thirty (30) days of cancellation or termination of your Subscription Service.
If ExSitu believes that you have violated these Payment Terms or any other applicable terms and conditions, ExSitu may suspend or terminate your access to all or any part of the Subscription Services at any time, with or without cause, with or without notice, effective immediately. ExSitu may also at its sole discretion and at any time modify or discontinue the Subscription Service, or any part of it, with or without notice. In the above circumstances or similar, all fees paid hereunder are non-refundable. You agree that ExSitu is not liable to you or any third party for any interference with, or termination of, your access to the Subscription Service.
You may terminate your subscription at any time, but not less than 1 day prior to the end of the then-current period for which you have paid. Termination must be in writing to email@example.com. If you terminate less than 1 day prior to the then do of the then-current period for which you have paid, termination will take effect at the end of the next period, and you will be charged for that period.
